Social networking giant Facebook has extended by a year the closing of its landmark $ 19 billion deal to acquire instant messaging app WhatsApp.
The California-based firm will have to pay WhatsApp $ 1 billion in cash and $ 1 billion in stock options in case it fails to close the deal in the stipulated time.
Facebook said the acquisition is subject to customary closing conditions, including regulatory approvals, and is expected to close in the second half of 2014.
"This date may be extended by us to August 19, 2015, if as of August 19, 2014 certain closing conditions applicable to Facebook (other than the receipt of certain regulatory approvals) have been satisfied," Facebook said in a US SEC filing last week.
The firm added that at present it expects that these conditions will be satisfied and that "we will extend the date to August 19, 2015."
"We have agreed to pay a termination fee to WhatsApp of $ 1 billion in cash and issue a number of shares of our Class A common stock equal to $ 1 billion, based on average closing price of the ten trading days preceding such termination, if the closing of this acquisition has not occurred by August 19, 2014," it said in the filing.
The filing further said: ". We currently expect these conditions will be satisfied and that we will extend the date to August 19, 2015."
The Mark Zuckerberg-led firm, which raised $ 16 billion in the richest tech sector public stock offering in 2012, said its biggest acquisition (of WhatsApp) so far, will not impact WhatsApp's brand.
The hefty transaction which includes $ 12 billion worth of Facebook shares, $ 4 billion in cash and $ 3 billion in restricted stock units will boost the world's biggest social network presence by adding 450 million users of WhatsApp, including a significant number of youth.

JD.com Inc, China's second-biggest e-commerce company by market share, will accept pre-orders for Microsoft Corp's Xbox One games console in China from July 28 to July 30, the firm said on Monday.
The pre-orders will be taken via Tencent Holdings' mobile social networks Mobile QQ and WeChat, known as Weixin in China, JD.com said in a statement. Tencent holds a 17.6 percent stake in JD.com.
The Xbox One will be the first gaming console to be released in mainland China since the government banned console sales in 2000, citing games' effects on mental health.
On Friday, China Telecom, the country's smallest wireless carrier, said it would sell the Xbox Onewhen released in September.
In September last year, Microsoft reached a deal with Chinese Internet TV set-top box maker BesTV New Media Co Ltd to form a joint venture to manufacture the consoles in Shanghai's Free Trade Zone.
Released in November, the Xbox One has trailed in sales to Sony Corp's PlayStation 4, launched around the same time.

It seems Microsoft will soon roll out the first update for Windows Phone 8.1 devices, as the Redmond giant has already shipped it to manufacturers. A report quoting sources has claimed the update will bring support for app folders and smart flip cases, amongst other new features.
According to Nokiapoweruser, the Windows Phone 8.1 GDR1 - as the first update to Windows Phone 8.1 is called - is being tested by manufactures, the first 'public' step in the lifecycle of an update. The report claims the update brings Android and iOS-like feature to create folders for simpler management of apps. Users will be able to drag and drop tiles on top of other tiles to create a folder. This is not completely unexpected, since last month the company accidentally made live one of the webpagesdetailing steps for creating a folder on Windows Phone 8.1.

Another feature in Windows Phone 8.1 GDR1, as per the report, will be support for smart flip cases for devices. Smart cases have become rather popular these days with the likes of HTC dot case, LGQuick-Circle case, Samsung S-view case, and more; and it seems Windows Phone will get support for them.
Additionally, the Windows Phone 8.1 GDR1 update change log obtained by the website suggests it will include Voice over LTE (VoLTE) support, dual-SIM support for both GSM and CDMA networks, a medium Live Tile for the Store app, a phonebook entry for virtual assistant Cortana to enable integration with car's navigation system, support for 7-inch devices and WXGA 800x1280 pixels resolution devices.
The next logical question is on the timing on the update, and while the original report is silent on the subject, The Verge says Microsoft plans to release Windows Phone 8.1 Update 1 to developers within this week, failing which, it will happen next month (August).

There have been several rumours around the next Nexus smartphone, including reports of Google dumping its Nexus programme in favour of a Project Silver (Android Silver), and then the Head ofAndroid Engineering and Nexus Program refuting the claim.
LG, the company who has manufactured Nexus smartphones (Nexus 4 and Nexus 5) for two consecutive years, in the meanwhile revealed it is not working on the Nexus 6.
Now, a new report claims that the next iteration of the Nexus phone will be unveiled later this year, with Motorola is working on the device. The rumour comes from Google's issue tracker, first spotted by Android Police, which shows the 'Shamu' reference for a device.
The report notes that the next Nexus smartphone is set for a November release and will head to major mobile carriers in the US along with other regions. The report claims that the rumoured 'Shamu' will sport a 5.9-inch display and will come with fingerprint sensor.
Further, Android Police after some digging found that the user who filed the bug with 'Shamu' reference in the Google issue tracker was a company named, Spirent Communications, a company that tests devices for errors.

HTC is expected to launch a Windows Phone version of its One (M8) later this year, a report claims.
WMPoweruser reports that the Taiwanese handset maker will re-enter Windows Phone segment with its Windows Phone 8.1-based HTC One (M8). The company launched the HTC 8S and HTC 8X back in 2012.

Further confirming the claims, Tom Warren from The Verge in a tweet said, "Oh and HTC is working on a Windows Phone version of the One. Should be out later this year." Unfortunately, there is no specified time frame revealed for the launch of Windows Phone 8.1-based One (M8).
It's worth noting that we are yet to hear any official announcement from the company regarding launch of the smartphone.
Initially announced in March, HTC launched the One (M8) flagship smartphone in India at Rs. 49,900.
The report suggests that the One (M8) smartphone's Windows Phone version will come with same specifications as the Android version of the handset.
The One (M8) includes a dual rear camera setup that puts a 4-UltraPixel camera alongside a 5-megapixel front camera. The phone packs a 2600mAh battery; supports Nano-SIM; 2.5GHz quad-core Qualcomm Snapdragon 801 processor; 2GB of RAM; 5-inch full-HD display; 16GB and 32GB storage options, and supports expandable storage via microSD card of up to 128GB capacity.
Earlier this month, HTC announced the dual-SIM variant of its flagship, dubbed HTC One (M8) Dual SIM.

Panasonic is all set to launch its Eluga series of smartphones in India. The company has been teasing the Eluga series for a while and now it has finally sent out invites for the event scheduled on Wednesday, July 30.
The Eluga series of smartphones were first introduced by the company in 2012 before being discontinued. Panasonic had launched the Eluga DL1 and the Eluga Power for the European market. It seems the company is looking to revive the series with the India launch. Panasonic in its invite describes the Eluga series as "Elegance for a new generation", but we don't know what segment the company will be targeting with new range of smartphones, or indeed the exact phones that the company will unveil.
So far Panasonic has been actively launching the P and T series of smartphones in India. Last week, the company had launched three dual-SIM smartphones Panasonic T41Panasonic P41 andPanasonic P61 running Android 4.4.2 KitKat OS. The devices are priced at Rs. 7,990, Rs. 11,990 and Rs. 14,990 respectively.
All three smartphones are powered by an unspecified quad-core processor clocked at 1.3GHz.
The Panasonic T41 comes with by a 4.5-inch IPS display with FWVGA (480x854 pixels) resolution. The smartphone runs on 512MB RAM and 4GB inbuilt storage with expandability option up to 32GB via microSD card. The Panasonic P41 houses a 5-inch IPS display with qHD (540x960 pixels) resolution. It comes with 1GB of RAM alongside 8GB of inbuilt storage with expandability option up to 32GB via microSD card. Finally, the Panasonic P61 features a 6-inch IPS display with HD (720x1280 pixels) resolution. The smartphone comes with 1GB of RAM, 16GB of inbuilt storage with expandability option up to 32GB via microSD card.

Lava mobiles on Monday announced the Android 4.4.2 KitKat OTA update for its Iris 504Q+ smartphone. The company had launched the smartphone with Android 4.2 Jelly Bean out-of-the-box, priced at Rs. 13,990. Notably the company has also reduced the price to Rs. 11,900.
Starting Monday, Lava Iris 504Q+ smartphone users will get a notification to upgrade the OS toAndroid 4.4.2 KitKat. Users can also manually check for the update from Settings > About Phone > System UpdatesLava has noted that the it is essential to have a microSD card inserted and mounted on the device, as the update will be "downloaded on the memory card only."
According to the company, the update brings a new dialer app that lets users automatically prioritise contacts according to the most frequently dialled numbers in the phone book. Additionally, whenever a user gets a call from an unknown number, the phone will look for matches from businesses with a local listing on Google Maps.
The Lava Iris 504Q+ is the successor to company's popular Iris 504Q smartphone launched last year. Just like the Iris 504Q, the 504Q+ comes with dual-SIM (GSM+GSM) standby support. It features a 5-inch (720x1280 pixels) HD IPS OGS (One Glass Solution) display and offers a pixel density of 294ppi.
It is powered by a quad-core processor (unspecified chipset) though it clocks at a higher speed of 1.3GHz alongside Mali 400 MP2 and 1GB of RAM. The Iris 504Q+ comes with 8GB of inbuilt storage, which is further expandable up to 32GB via microSD. The smartphone comes with a 10-megapixel autofocus rear camera, which features an Exmor R sensor and a 2-megapixel front-facing camera. On the connectivity front, the Iris 504Q+ includes 3G, Wi-Fi, Micro-USB, and Bluetooth options. It packs a 2000mAh battery, which is rated to deliver up to 732 hours of standby time.

LG on Monday introduced an Android hybrid device called LG Tab Book. The tablet-cum-notebook was unveiled in LG's home country, though the company did not unveil the pricing, availability and global roll-out details of the device.
On the design front, LG Tab Book with Android OS looks similar to the Tab Book 2 that was launched at CES earlier this year, which runs Windows.
Just like the Tab Book 2, the new Android hybrid (model number 11TA740-GA50K) sports 11.6-inch full-HD IPS display touchscreen with support for 10-point touch control and slide-out QWERTY keyboard. LG has just replaced the Windows home button with the Android home button in Tab Book.
The LG Tab Book runs Android 4.2.2 out-of-the-box. It packs a fourth generation Core i5 4200U (Turbo 2.6GHz, Cache 3MB) with Intel HD Graphics 4400. The device comes with one RAM slot packing 4GB memory with it, while there is no word on the maximum support size.
LG Tab Book (11TA740-GA50K) comes with a 128GB SSD hard drive storage with support for microSD card (unknown). Other ports on the device include two USB 3.0 ports and a standard HDMI port for connectivity. Dimensions of the Tab Book are almost similar to the Windows variant at 286x192x16.7mm. The tablet hybrid weighs 1.05 kg.

I am not here to sack people, that’s not my style. I believe in continuity and if you look around our company’s senior management team, most have been with me for years, Dilip Shanghvi, promoter, Sun Pharma, told senior Ranbaxy executives in a closed-door meeting at the Taj Lands End in Mumbai, called at a short notice in the second week of July.
Ranbaxy country heads from different parts of the world had gathered in Delhi for their periodic performance review, and were in for a surprise when they were summoned for a meeting with their soonto-be chief.
I may assign new roles to people and do not expect them to be masters at their job. But they should constantly learn on their jobs, Shanghvi is learnt to have told them.
Dressed in his characteristic crisp white shirt, Shanghvi spoke softly and said he preferred to take questions rather than launching a long speech. This was the first exchange of the kind between Sun’s top boss and senior brass of Ranbaxy since the Mumbai-based drug firm announced in April that it will acquire the rival from its Japanese parent Daiichi Sankyo in the largest domestic pharma transaction worth $4 billion.
PEOPLE & PERCEPTIONS
Shanghvi said that every time a division in his company underperformed, and an assessment of the cause was carried out,the company realised it was because of losing some valuable people.
So, I don’t believe in losing people. And when it comes to hiring, he said he either hires the best, or those from whom he thinks he can extract the best. On speculations around possible workforce trimming in Ranbaxy post deal closure, Shanghvi tried to dispel anxieties of the Ranbaxy senior management.
“All my life, my focus has been to grow the business. The need to expand this business will require many more people than what we currently have,” he is understood to have said.
“What I have realised is that when we have disturbances, the focus is diverted more into managing those disturbances rather than managing growth,” he said, assuring that whatever Sun will do in Ranbaxy post integration, it will do so with the least amount of disturbance.
Admitting that there’s a perception that Sun and Ranbaxy do business in different ways, he said, “I know those sitting in Ranaxy have certain perceptions about Sun and those at Sun have some perception about Ranbaxy, some of which could be true, but many of them are far from real.”
He conveyed that these perception gaps would be cleared after the integration.
Shanghvi further said that the Ranbaxy acquisition is very important to him because Sun has never done a deal of this size and complexity in the past. He also emphasised that he doesn’t want to go wrong on anything, and doesn’t want to be unfair in any way.
And the thing he would strive to do is to create an apolitical environment where people can be rewarded after objective reviews.
TARO LESSONS
Citing his record at Taro, a previous acquisition in Israel, which Sun has managed to turn around, Shanghvi pointed out to Ranbaxy executives that besides appointing Kal Sundaram, the chief executive officer, he hasn’t made any significant people changes in the company in the last four years.
Soon after the deal, seven-eight top executives at Taro left after the senior management triggered change of control agreement, Shanghvi said. “At the time we had just met second and third line people in the company. We decided against hiring from outside and filled the vacuum at top by promoting existing employees,” he said, according to people privy to the event.
He said at the time of taking over about 3% of Taro’s turnover was spent on airlifting drugs from Israel — the manufacturing base — to the US market largely because of the production delays, something the Taro employees fixed after being given the responsibility to do so, which became one of the many critical inputs in the business picking up.
Without much significant investment, Shanghvi said the service levels in this area improved to 98% on last assessment from 90% during pre-acquisition times.
ACQUISITION, A LEARNING OPPORTUNITY
Reminiscing about the days when he was engaged to marry, he related incidents about how he tried to impress his wouldbe wife by telling her that if they ran the business well, they could earn Rs 1 crore a year.
At the time, he had set up one plant at Vapi in Gujarat, which generated monthly sales of Rs 60,000. Citing the difference between his aspiration and achievement, he asked Ranbaxy executives never to underestimate themselves.
“I believe the people I work with are far more capable than what they think or what I think,” he said.
“We never get into acquisitions with the mindset that we know everything. Every experience has taught us valuable lessons,” he said about the nine-odd companies Sun had acquired in the last decade, adding that he is confident that even the Ranbaxy acquisition will help them learn many lessons.
A Sun spokesperson refused to comment on the matter and Ranbaxy didn’t respond to an ET mail seeking comments on the meeting.

Nearly 25 per cent of the BPO/ITeS candidate base in Delhi NCR rates salary as the key feature of this sector, according toJobBuzz.com data.
Overall, candidates are not very happy with the salary offered to them, Delhi NCR is an exception. Only 16 per cent of the total candidate base in the BPO/ITeS sector rate salary to be its best feature.
Nearly 19 per cent of Chennai based candidates rated salary to be the best feature of the BPO/ITeS sector, while only 10 per cent candidates in Pune are happy with the sector’s compensation structure.
Senior level candidates seem to be most satisfied with the salary offered by the sector. Nearly 23 per cent candidates belonging to 10-20 and over 20 years experience category rate compensation as its best feature. Candidates with 0-2 years experience, in the BPO/ITeS sector, are least satisfied with the salary offered by this sector.
JobBuzz.com data further indicates that male candidates are rewarded more than female candidates. Of the entire male candidate base in BPO/ITeS sector, nearly 25 per cent rated salary to be its best feature. Female candidates, on the other hand, are not very happy. Only 19 per cent of the entire female candidate base, rated salary as the high point of working in this sector.
Over 40 per cent of the director/VP level candidate base in the BPO/ITeS sector, rated salary to be the best feature of this sector, followed by senior manager to GM level candidates. Executive to assistant level candidates are least satisfied with the remuneration offered to them.
The BPO/ITeS sector rewards marketing/media planning candidates the most. Of their entire candidate base, nearly 27 per cent rated salary to be the best feature of this sector, followed by operations/customer service/telecalling/back-end professionals (23%). HR and administration candidates are the least satisfied with the salary offered to them.
Overall, 40 per cent junior and middle level employees recommend working for the BPO/ITeS industry. Genpact Pvt Ltd and Wipro Technologies Ltd are the most recommended companies by the entire BPO workforce.
With the BPO industry moving up the value chain to Business Process Management, there are ample opportunities in all sectors varying from the field of medicine, legal, logistics, equity research and business research. The compensation is also varied, based on whether it is a field role or not.
However, the transition from being a low end support to a full service value provider has opened doors to huge opportunities in the Indian BPO sector. Pay for performance model is actively used in the sector, a clear differentiator for top-end performance.

Currently, the Indian Fashion Industry is growing at a rate of 10 per cent per annum. Compared to the global market, the Indian Fashion market is growing at a slower pace but it stands at approximately $460 million.
According to TimesJobs.com maximum jobs in this industry are available for fashion designers. The profession accounts for nearly 25 per cent of the total jobs in the sector. Opportunities for fashion design graduates are driven by the huge and growing demand for designer wear and the rising demand for exports. While most fashion designer choose to be self employed, for the rest there are immense opportunities in the export houses, garment store chains, textile mills, leather companies, boutiques, jewellery houses and media houses.
Vikrant Makkar, a Delhi-based fashion designer believes that a sense of aesthetics and a keen eye on what’s trending is important to ensure a successful career as a fashion designer. There are some more things that aspiring designers need to keep in mind, he adds:
Think different: Think out-of-the-box, be fearless in trying new things because creating something original takes a lot of work
Confidence: Have confidence in your ability and try to deliver something different from what’s already out there
Networking: Build networks because this is how you can reach maximum people and showcase your ideas. It will help if you have a well designed and organised portfolio
Be persistent: Keep at it. Even if you don’t get to where you want to be immediately (working for a particular design house or brand) continue doing good work, take up new challenges and diversify your portfolio.
Being cool: For creative people work doesn’t happen in 9 to 5 shifts. For them 24×7 is the work culture. Sometimes that could be physically and mentally taxing but one should learn to stay cool and calm.
Fearless: There are chances that even after you have put in all your hard work you might fail. But, don’t get disheartened, understand your drawbacks and work on them.
The scope for fashion designing jobs in India is immense as the Indian Fashion industry is gaining foothold globally. Rising fashion consciousness among people across big and small cities is a major driver for the fashion industry. According to Makkar, for a fresher the salary bracket starts from 2.5 to 5 lakh per annum which keeps increasing as per the experience. The industry is seeking talent across a wide range of functions including, fashion designers, textile designers, models, retailers, buyers and merchandisers, to provide end-to-end solutions to their clients.

Keep an eye on your assets with Myuniverse
